1. Acceptance and Binding Agreement

1.1 By accessing, browsing, or utilizing any services, applications, or tools (collectively, the "Services") provided by LinkDR, a Wyoming corporation ("Company," "we," "us," or "our"), you ("User," "you," or "your") expressly acknowledge, represent, and warrant that you have read, understood, and agree to be bound by these Terms of Service ("Agreement"), which constitute a legally binding agreement between you and the Company.

1.2 If you do not agree to any portion of this Agreement, you are expressly prohibited from accessing or utilizing the Services in any manner whatsoever.

2. Modification of Agreement

2.1 The Company reserves the right, at its sole and absolute discretion, to modify, amend, or replace this Agreement, in whole or in part, at any time and without prior notice.

2.2 Any such modifications shall become effective immediately upon posting on the Company's website or within the Services.

2.3 Your continued use of the Services following any modifications to this Agreement constitutes your acceptance of such modifications.

2.4 It is your sole responsibility to review this Agreement periodically for any modifications.

3. Services Description and License Grant

3.1 The Company provides an artificial intelligence-powered link building tool designed to assist users in acquiring backlinks and managing outreach campaigns.

3.2 Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes.

4. User Accounts and Security

4.1 To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password.

4.3 The Company reserves the right, in its sole and absolute discretion, to terminate your account, in whole or in part, at any time, for any or no reason, without notice and without any liability to you or any third party.

5. Payment Terms and No Refund Policy

5.1 All payments made to the Company for the Services are non-refundable, regardless of the circumstances, including, but not limited to, termination of your account, discontinuation of the Services, or any other reason whatsoever.

5.2 The Company, in its sole and absolute discretion, reserves the right to modify its pricing structure at any time without prior notice.

5.3 You expressly acknowledge and agree that there shall be no refunds for partial use of Services, downgrade of Services, unused credits, or any other circumstance.

6. Intellectual Property and License to User Data

6.1 By submitting, uploading, or otherwise providing any data, content, or information to the Company through the Services ("User Data"), you hereby grant to the Company a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit such User Data in connection with the Services and the Company's business, including without limitation for promoting and redistributing part or all of the Services in any media formats and through any media channels.

6.2 You represent and warrant that you have all rights necessary to grant the licenses granted in this section.

6.3 The Company may, without limitation, use any User Data, including but not limited to Google Search Console data, keyword data, and email templates, for any purpose whatsoever, including but not limited to improving the Services, developing new products or services, or for any other business purpose.

7. Disclaimer of Warranties

7.1 THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 THE COMPANY MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

8. Limitation of Liability

8.1 IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (i) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (ii) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (iii) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (iv) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (v) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (vi) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

8.3 YOU SPECIFICALLY ACKNOWLEDGE THAT THE COMPANY SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

9. Indemnification

You agree to defend, indemnify and hold harmless the Company and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Services.

10. Severability

If any provision of this Agreement is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

11. Governing Law and Dispute Resolution

11.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

11.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the American Arbitration Association, which rules are deemed to be incorporated by reference into this clause. The seat of the arbitration shall be Cheyenne, Wyoming. The language of the arbitration shall be English.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the use of the Services, superseding any prior agreements between you and the Company relating to your use of the Services.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS HEREIN.
